Just like public companies, private companies also require funding for its operations. There are typically two main ways in which private companies can raise this capital: debt and equity. Some companies even use a combination of both.

 

Private Equity financing is done by selling shares of the private company stock for capital. These can be either common shares or preferred shares. Typically, equity investors rely on the stock to appreciate in value or the company to issue dividends for a return on their investment.

 

Debt financing occurs when the private company borrows money and agrees to pay it back to the lender at a later date. The most common types of debt capital used are bank loans and corporate bonds. Debt holders / investors usually earn an interest which the company is required to repay on the borrowed amount, at the end of the debt term.

Compared to unsecured loans, convertible bonds typically confer lower borrowing costs than regular loans as the bond includes rights to allow repayment of the loan with equity interests in some cases (instead of actual cash) and at lower interest rates.

The typical duration of convertible bonds for a company is approximately 1 to 3 years (to conversion /repayment). For an institutional round, we typically work with companies to raise USD 10 million to USD 100 million. We also work with companies on smaller raises below USD 10 million, depending on their requirements.

We typically work with companies that have more than USD 1 million in annual revenue or have previously raised more than USD 10 million.

There is no cost to create a Deal Preview to gauge investor interest. Once there is more concrete interest or you would like us to start active investor outreach, you may convert to a live deal. There will be charging a monthly technology service fee of SGD 500 and a success fee upon the successful completion of the fund raise.
